Company Secretary, Assistant Manager

Summary:

Responsible for ensuring compliance with Companies Act and responsible for all corporate secretarial-related matters.

Responsibilities:

  • Provide in-house secretarial services in managing and administering secretarial practices and statutory requirements in compliance with Companies Act 2016 and other countries' local acts for all overseas entities.
  • Exercise comprehensive company secretarial duties and functions for a group of companies.
  • Prepare and attend to various corporate documents, statutory forms, and legal documents.
  • Ensure proper maintenance of statutory records and submission of statutory returns.
  • Oversee the Company's corporate governance framework, ensuring compliance with relevant laws and regulations.
  • Implement corporate governance best practices.
  • Advise Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
  • Coordinate and support other departments in special assignments and corporate exercises.
  • Liaise with external auditors during audit reviews.
  • Liaise with external company secretaries/lawyers and corporate services providers for overseas legal entities on corporate documents and secretarial matters.
  • Discuss and negotiate the Terms and Conditions of Banking Facilities with bankers.
  • Negotiate, draft, and review trade agreements, agreements of all kinds, and other legal documents.
  • Ensure all agreements and contracts comply with relevant laws and regulations, including but not limited to international trade laws.
  • Collaborate with internal stakeholders and external partners to facilitate smooth execution of agreements and contracts.
  • Track and manage the performance of agreements, addressing any issues or disputes that arise.
  • Ensure compliance with Direct Selling Act and Direct Selling Association Regulations in Malaysia and relevant countries.
  • Attend to other ad-hoc assignments as and when required.

Requirement:

  • Bachelor's Degree or Professional Qualification in Business Administration/Management/Secretarial or equivalent.
  • At least 8 years of related working experience in a corporate secretarial role.
  • Strong execution and organizational skills.
  • Strategic orientation.
  • Ability to anticipate and resolve issues with diplomacy.
  • Proactive and excellent communication skills.
  • Negotiation skills.
  • Facilitation skills.

Remuneration: MYR 6,000 - MYR 7,000
